Uhh.Club operated by Uhh.club, is a site where you can set up your own “club” and make your content available for money. Also, you can follow and support your favorite Creators.

These are Uhh.Club’s terms of use, and they apply to all Users of the Platform. “We”, “our” or “us” refers to Warmtech Ltd a limited liability company incorporated under the laws of the Republic of Cyprus with registration number HE 418620 and its registered office at nd.

Definitions

Users: means any user of the Website including Followers, Members and Creators (“you” or “your”)

Creator: means a User who has set up its club as a Creator to post Content on the Website.

Member: means a User who joined the club of a Creator

Follower: means a User who follows a Creator.

Website: means https://uhh.club

Content: means any material uploaded to Uhh.Club by any User

Eligibility

This Website, operated by Uhh.club , is exclusively available to individuals aged 18 years or older. However, if the age of majority in your jurisdiction is higher than eighteen (18) years, you must meet the legal age of your jurisdiction. By utilizing this Website, you confirm and guarantee that you are legally eligible to enter into a binding contract with us and comply with all aforementioned eligibility criteria. Failure to meet these criteria prohibits your access and use of the Website.

Grant of Use

We hereby grant you a non-exclusive, non-transferable, and limited right to access and non-publicly display the Website content, including all available Content, on your computer or mobile device, in accordance with these Terms.

This grant is subject to termination at our discretion, with or without prior notice, for any reason. Upon termination, we reserve the right to: (i) delete or deactivate your account, (ii) block your email and/or IP addresses, or otherwise cease your access and use of the Website, and/or (iii) remove and/or delete any of your Content. You agree not to attempt further use of the Website after termination. Upon termination, your right to use the Website will cease, but other sections of these Terms will remain in effect. You acknowledge that we are not liable to you or any third party for the termination of this grant of use.

Personal Responsibility

Users are responsible for the decisions they make or actions they take based on the information provided by the AI. We are not liable for any consequences whatsoever resulting from those decisions or actions.

Continuous Improvement

AI is an evolving technology, and we may update and improve its functionality over time. We reserve the right to modify or discontinue the AI at any time either with or without prior notice. Intellectual Propert

Intellectual Property Rights

The Content on the Website, excluding your Content and third-party links, but including other text, graphical images, photographs, music, video, software, scripts and trademarks, service marks and logos contained therein (collectively “Proprietary Materials”), are owned by and/or licensed to us. All Proprietary Materials are subject to copyright, trademark and/or other rights under the laws of applicable jurisdictions, including domestic laws, foreign laws, and international conventions. We reserve all our rights over our Proprietary Materials. Except as otherwise explicitly permitted, you agree not to copy, modify, publish, transmit, distribute, participate in the transfer or sale of, create derivative works of, or in any other way exploit, in whole or in part, any Proprietary Material.

Uhh.Club Account Registration

To register and create an account with Uhh.Club, you must provide a valid email address, a username, and a password. You agree that all information you provide to register with our Website or otherwise is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy. You can permanently delete your account at any time by going to your Account settings.

User Acknowledgement and Agreements

All account registration, profile information, and content you provide is your own information and the content is truthful and accurate.
If you previously had an account with Uhh! Club, your old account was not terminated or suspended for violation of these Terms.
You will not use any other way to accept payments other than those offered via the Website.
You register on Uhh! Club for your own personal use and you will not sell, rent or transfer your account to any third party.
Uhh! Club reserves the right, at any time, to verify the information which you provide to us as well as your compliance with these Terms and to suspend your account if it is unable to do so to its reasonable satisfaction.
You agree not to use the Websites for any unlawful purpose or in any way that is prohibited by these Terms.
You agree to abide by all applicable local, state, national and international laws and regulations.
You agree that you are solely responsible for all acts and omissions that occur as a result of your use of the Website.
You agree to maintain the security of your login password and to be fully responsible for any and all use of your account.
You agree not to use any automated means, including robots, crawlers or data mining tools, to download, monitor or use data or Content from the Website.
You agree not to use the Website to collect usernames and/or email addresses for sending unsolicited messages of any kind.
You agree not to “stalk” or otherwise harass anyone on or through the Website.
You agree not to disable, circumvent, or otherwise interfere with security related features of the Website or features that prevent or restrict use or copying of any Content or which enforce limitations on the use of the Website or the Content therein.
You agree not to post, link to, or otherwise make available on the Website any material that contains software viruses, or any computer code, file or program designed to interrupt, destroy, limit or monitor the functionality of any computer software or hardware or any telecommunications equipment.
You agree not to license, sublicense, sell, resell, transfer, assign, distribute or otherwise in any way commercially exploit or make available the Website or any Content to any third party.
You agree not to “frame” or “mirror” the Website.
You agree not to reverse engineer any portion of the Website.
You agree not to use a username of a hateful, racist, defamatory, ethnically offensive nature or any username related to children, terrorist organization and/or any other cam sites.
Do not upload, post, display, or publish Content on the Website that shows, includes or refers to any individual under 18 years old or any other individual unless you have written documentation which confirms that all individuals shown or included or referred to in your Content are at least 18 years old, and you have a written consent from each individual to use their name or images (or both) in the Content.
You agree to use the AI in a responsible and lawful manner, avoiding any malicious or harmful behavior, including attempts to exploit or manipulate the AI. You further agree that you will not initiate any interactions with the AI that may lead to offensive and/or discriminatory and/or harmful behavior towards yourself or others. Any misuse or abuse of the AI, including but not limited to harmful or offensive behavior, is strictly prohibited.
You agree to engage in polite and respectful communication, via the AI, without using offensive and/or abusive and/or discriminatory language.
You agree not to share any personal or sensitive information about yourselves or others.
You agree not to engage in any illegal activities, including but not limited to sharing pirated content, promoting hate speech, or advocating violence.
You agree that you familiarize yourself with and comply with the terms of service provided by Uhh! Club to ensure a safe and secure experience for all users.

Your Content on Uhh.Club

We claim no ownership or control over the Content. You or a third-party licensor, as appropriate, retain all copyrights to the Content and you are responsible for protecting those rights as appropriate. By submitting, posting or displaying Content on the Website, you grant Uhh.Club a worldwide, non-exclusive, irrevocable, royalty-free license (with the right to sublicense) to use to advertise, copy, adapt, modify, publish, display and distribute such Content in any and all media or distribution methods now known or later developed (for clarity, these rights include, for example, curating, transforming, and translating).

You hereby expressly authorize us to monitor, record and log any of your activities on the Website, including your chats, streams, messages, interactions with other users and your Content. By creating and publishing Content on the Website, you authorize other Users to access and view your Content for their own lawful and personal use. You also represent, warrant and undertake that:

you own, have a valid licence to, or otherwise control all rights in and to your Content;
to the extent your Content includes or utilises any third-party property, you have secured all rights, licenses, consents and releases that are necessary for the use of such third-party property in your Content;
your Content is non-confidential and will be made available to other Users.
You will not post, or allow anyone else to post, any material that depicts any individual under the age of eighteen (18) years and that you have inspected and are maintaining written documentation, pursuant to United States law18 U.S.C. § 2257, which we voluntarily comply with (and whether you are subject to United States law or not) and other analogous, relevant and/or applicable laws, to confirm that all individuals in your Content are, in fact, over the age of eighteen (18) years;
You have written consent, release, and/or permission from each and every identifiable individual in the Content to use the name and/or likeness of each and every such identifiable individual to enable use of the Content for any and all uses contemplated by the Websites and these Terms.
You shall not submit any Content that is copyrighted, protected by trade secret or trademark laws, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have explicit permission from the rightful owner to submit the material and to grant us all of the license rights granted herein;
You shall not submit any Content that is obscene, vulgar, illegal, unlawful, defamatory, fraudulent, libelous, harmful, harassing, abusive, threatening, invasive of privacy or publicity rights, hateful, racially or ethnically offensive, inflammatory, or otherwise inappropriate as decided by us in our sole discretion;
You shall not submit any Content that it depicts illegal activities, promotes or depicts physical harm or injury against any group or individual, or promotes or depicts any act of cruelty to animals;
You shall not submit any Content that impersonates any person or entity or otherwise misrepresents you in any way, including creating a false identity;
You shall not submit any Content that would constitute, encourage or provide instructions for a criminal offense, a violation of the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;
You shall not submit any Content that is unsolicited or unauthorized advertising, promotion, “spam” or any other form of solicitation.

You acknowledge that we may at our sole discretion refuse to publish, remove, or block access to any Content for any reason, or for no reason at all, with or without notice. You further acknowledge that we may require you to provide sufficient evidence of having all necessary rights, licenses, authorizations, permissions, and clearances for any of your Content, and if you fail to provide such evidence within a reasonable period of time (as determined by us in our sole discretion), then we may remove some or all of your Content and/or terminate your account, without any liability to you. You are solely responsible for keeping copies of such evidence.

Sexually Explicit Content

uhh.club, which involves AI services, may contain sexually graphic and/or explicit content. By accessing and using uhh.club, you acknowledge and agree that you are aware of this possibility. It is your responsibility to use the content in a lawful and appropriate manner. We are not liable for any potential offense and/or harm and/or consequences arising from the sexually graphic and/or explicit nature of the content generated by uhh.club. If you find such content objectionable, please refrain from using uhh.club.

User Payments

Through the Website, Users will have the opportunity, by using one of the acceptable forms of payment as set forth on the Website from time to time, to subscribe, follow, tip and purchase content from their favorite clubs. All related prices and fees for each payment method will be clearly displayed on the payout page before every purchase.

In order to make a purchase, you may be asked to supply certain information to allow us to process and authorize your purchase, including, without limitation, your name, address, card number, card expiration date, card security number and other information. You represent and warrant that (i) you have the legal right to use the form of payment that you use and that (ii) the information that you are providing with that form of payment is true and correct. You acknowledge that we may use a third party for the purposes of processing or facilitating any payment and that by submitting your information to us you grant us the right to provide this information to such third parties.

We reserve the right to refuse, cancel or terminate any purchase any time and for any reason in our sole discretion. Without limiting the foregoing, we reserve the right to refuse, cancel or terminate your purchase because of product or service unavailability, errors in the description of price of our product or service and errors in your purchase.

The price for each subscription and Content will be set by the Creators. The prices will be clearly stated on the Website and may change from time to time. You will further have the chance to send tip to the Creators at your sole discretion.

You agree not to report as fraudulent, lost or stolen any form of payment which you have used in conjunction with payment to us, for which you do not have a good faith reason to believe is in fact fraudulent, lost or stolen. You agree not to report as unauthorized any charge by us for any goods or services, for which you do not have a good faith reason to believe is in fact unauthorized. You agree that absent good faith, in the event of any such report you shall be liable to us for such charge or obligation plus an additional $100 administrative fee. The liability specified in this paragraph will not limit our rights or any other liability you may have for any other reason, including a breach of any other provision of these Terms.

Unless you choose through your account to terminate your subscription, your subscription will automatically renew at the end of each subscription term. A renewed subscription will have the same term as the immediately preceding subscription. At the time of renewal, your payment method will be charged the Subscription Fee. In case of change of the subscription price by the Creator, then you will have the option to renew manually or terminate your subscription to that specific club.

Your payment method will be charged based on the selected term period automatically at the end of the subscription term and immediately in cases of ad hoc payments such as paying tip to a Creator.

If you cancel a subscription, the subscription will continue to be active until the already paid term comes to an end, after which no further payments will be taken from your payment card in respect of subscriptions to that club.

Refunds

If at any time we terminate your rights to use the Website because of a breach of these Terms, you shall not be entitled to a refund. In all other respects, such fees shall be governed by additional rules, terms, conditions or agreements posted on the Website and/or imposed by any sales agent or payment processing company, as may be amended from time to time.

Third-Party Links

If the Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including, without limitation, banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Copyright and Intellectual Property Claims

We respect the intellectual property rights of others. You may not infringe the copyright, trademark or other proprietary informational rights of any party. We may in our sole discretion remove any Content we have reason to believe violates any of the intellectual property rights of others and may terminate your use of the Website if you submit any such Content.

REPEAT INFRINGER POLICY. AS PART OF OUR REPEAT-INFRINGEMENT POLICY, ANY USER FOR WHOSE MATERIAL WE RECEIVE THREE GOOD-FAITH AND EFFECTIVE COMPLAINTS WITHIN ANY CONTIGUOUS SIX-MONTH PERIOD WILL HAVE HIS GRANT OF USE OF THE WEBSITES TERMINATED.

Although we are not subject to United States law, we voluntarily comply with the Digital Millennium Copyright Act. Pursuant to Title 17, Section 512(c)(2) of the United States Code, if you believe that any of your copyrighted material is being infringed on the Website, we have designated an agent to receive notifications of claimed copyright infringement. Information that will allow us to contact you, including your address, telephone number and, if available, your email address;
A statement that you have a good faith belief that the use of the material complained of is not authorized by you, your agent or the law;

Indemnification and Release

You hereby agree to indemnify us and hold us harmless from any and all damages and third-party claims and expenses, including attorney’s fees, arising from your use of the Website or from your breach of these Terms. In the event that you have a dispute with one of more other Users or any third parties, you hereby release us, our officers, employees, agents and successors-in-right from claims, demands and damages (actual and consequential) of every kind or nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the Website.

We specifically disclaim to the fullest extent any implied warranties of merchantability, fitness for a particular purpose, non-infringement, information accuracy, integration, interoperability or quiet enjoyment. Choice of Law and Venue

To the maximum extent permitted by law, these Terms as well as any claim, cause of action, or dispute that may arise between you and us, are governed by the laws of the Republic of Cyprus without regard to conflict of law provisions. FOR ANY CLAIM BROUGHT BY YOU AGAINST US, YOU AGREE TO SUBMIT AND CONSENT TO THE PERSONAL AND EXCLUSIVE JURISDICTION IN, AND THE EXCLUSIVE VENUE OF THE COURTS IN THE REPUBLIC OF CYPRUS. FOR ANY CLAIM BROUGHT BY US AGAINST YOU, YOU AGREE TO SUBMIT AND CONSENT TO PERSONAL JURISDICTION IN AND THE VENUE OF THE COURTS IN THE REPUBLIC OF CYPRUS AND ANYWHERE ELSE YOU CAN BE FOUND.

General Terms

These Terms, as amended from time to time, constitute the entire agreement between you and us and supersede all prior agreements between you and us and may not be modified without our written consent.
Our failure to enforce any provision of these Terms will not be construed as a waiver of any provision or right.
If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid and unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.
These Terms are not assignable, transferable or sub-licensable by you except with our prior written consent, but may be assigned or transferred by us without restriction.
You agree that we may provide you with notices by email athelp@uhh.club, regular mail, or postings to the Website.
The section titles in these Terms are for convenience only and have no legal or contractual effect.
If these Terms or any other documents between you and us are translated and executed in any language other than English and there is any conflict as between the translation and the English version, the English version shall control.
